These Terms of Service (the “Terms”) are a binding agreement between you and Lab378 Ltd (“Lab378”, “we”, “us”). They govern your access to and use of withlivia.com (the “Site”) and the Livia AI Inside Sales Agent (the “Service”). By using the Site or Service you agree to these Terms.
1. Use of the Site
You may browse the Site, request a demo and read public content. You agree not to misuse the Site, including by attempting to interfere with its operation, scrape data at scale, or use it in violation of applicable law.
2. The Service
The Livia Service is provided to brokerage customers under a separate written order or pilot agreement (the “Order”). Where there is a conflict between these Terms and an Order signed by both parties, the Order controls for that customer.
3. Accounts
Some features require an account. You are responsible for safeguarding credentials and for activity that occurs under your account. Notify us promptly at support@withlivia.com if you suspect unauthorized use.
4. Acceptable use
You agree not to:
- Use the Site or Service for any unlawful, deceptive or harmful purpose.
- Use the Service in violation of TCPA, Fair Housing or other applicable real-estate marketing and consumer communication laws.
- Send spam, malware, or content infringing the rights of others.
- Reverse engineer, scrape, or attempt to derive source code from the Site or Service.
- Resell or sublicense access without our written permission.
5. Customer content and data
For the Service, brokerage customers provide lead, contact and CRM data (“Customer Data”). The customer remains the controller of Customer Data and grants Lab378 a limited license to process it solely to provide and improve the Service, under our Data Processing Agreement and Privacy Policy.
6. Intellectual property
The Site, the Service, the Livia name, the Lab378 name, and all related software, content and trademarks are owned by Lab378 or its licensors. Nothing in these Terms transfers ownership.
7. AI outputs
The Service uses AI to generate conversational responses, lead summaries and recommendations. AI outputs may be inaccurate. Customers are responsible for reviewing material outputs before acting on them and for ensuring compliance with applicable real-estate and communication regulations in their jurisdiction.
8. Fees
Service fees are described in the applicable Order. Unless otherwise agreed, fees are exclusive of taxes, non-refundable, and payable in US dollars. Pilots may be priced on agreed outcomes (e.g. booked showings, signed agreements, closed deals).
9. Confidentiality
Each party will protect the other’s non-public information with at least the same degree of care it uses to protect its own confidential information, and use it only to perform under these Terms.
10. Disclaimers
The Site and Service are provided “as is” and “as available”. To the maximum extent permitted by law, Lab378 disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential or punitive damages. Lab378’s aggregate liability under these Terms will not exceed the amounts you paid us in the twelve (12) months preceding the event giving rise to the claim, or, if you have not paid us, USD $100.
12. Indemnification
You will defend, indemnify and hold harmless Lab378 from third-party claims arising out of your breach of these Terms, misuse of the Service, or violation of applicable law.
13. Termination
We may suspend or terminate access if you materially breach these Terms or if continued use poses a security, legal or compliance risk. Sections that by their nature should survive termination will survive.
14. Governing law
These Terms are governed by the laws of England and Wales, without regard to conflict-of-laws principles. The courts of England and Wales have exclusive jurisdiction over disputes, except that either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property or confidentiality.
15. Changes
We may update these Terms from time to time. Material changes will be flagged on the Site. Continued use after changes take effect constitutes acceptance.
